Agreement to Terms

By accessing or using the Hectares.ai platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

These terms apply to all users of the platform, including invited collaborators, project participants, and contributors of content.

Accounts and Access

Access to the Hectares.ai platform is by invitation. Accounts are created for individuals invited to collaborate on specific projects or workspaces. When you accept an invitation and use an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Notify us immediately if you discover or suspect any security breaches
• Take responsibility for all activities that occur under your account

Access Model

Hectares.ai is not offered as a self-serve subscription product. The platform is operated for our own ventures and made available to invited collaborators and project participants.

• There are no publicly available plans, tiers, or self-serve purchases on the platform
• Where a commercial engagement exists, its terms are set out in a separate written agreement between the parties
• We may modify, limit, or withdraw access to the platform or any feature at any time

Acceptable Use Policy

You agree to use Hectares.ai only for lawful purposes and in ways that do not infringe upon the rights of others. Prohibited uses include:

• Violating any applicable laws or regulations
• Transmitting any harmful code, viruses, or disruptive technologies
• Attempting to gain unauthorized access to our systems or user accounts
• Interfering with or disrupting the platform's functionality
• Using automated systems or software to extract data without permission
• Impersonating another person or entity
• Using the platform for any illegal or unauthorized purpose
• Engaging in any activity that could damage our reputation or business

Intellectual Property Rights

Platform Content

The Hectares.ai platform, including all content, features, and functionality, is owned by Hectares LLC and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content

You retain all rights to the projects and content you create using our platform. By using our services, you grant us a limited license to:

• Store, process, and display your content as necessary to provide our services
• Make backups to prevent data loss
• Share your content with collaborators you designate
• Use anonymized and aggregated data to improve our services

Project Development and Financial Models

While Hectares.ai provides sophisticated financial modeling tools and data integration capabilities, you acknowledge that:

• All financial projections and models are estimates based on the inputs you provide
• We do not guarantee the accuracy or success of any project
• You are solely responsible for verifying all calculations and assumptions
• Our platform is a tool, not a substitute for professional financial, legal, or investment advice
• You should consult with qualified professionals before making investment decisions

Disclaimers and Limitations of Liability

No Warranties

Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

Limitation of Liability

To the maximum extent permitted by law, Hectares LLC and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from your use of our services.

Indemnification

You agree to indemnify and hold harmless Hectares LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of our services or violation of these Terms.

Termination

We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms of Service
• Fraudulent or illegal activity
• End of the project or collaboration your invitation relates to
• At our sole discretion

Upon termination, your right to use our services will immediately cease. All provisions of these Terms which should reasonably survive termination shall survive.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in Sheridan County, Wyoming, in accordance with the rules of the American Arbitration Association.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If we make material changes, we will notify you via email or through a notice on our platform at least 30 days before the changes take effect. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
